Name and seat
An association under Art. 60 et seq. of the Swiss Civil Code, established for an indefinite period, with its registered office in St. Gallen (c/o schochauer ag, Marktplatz 4, 9004 St. Gallen).
Purpose
The association pursues the non-profit purpose of promoting freedom of opinion and critical journalism in Switzerland and abroad, and serves the realisation of press freedom and the right to free expression. This includes providing information, organising events and congresses, supporting journalists – in particular young journalists – and connecting journalists from all over Europe. The association acts on a non-partisan basis, independently of political parties and governments, and according to free and democratic principles. In its activities it stands up for personal liberties and for strengthening the individual and private property. It is not commercially active and not profit-oriented.
Membership
Membership is open to all natural and legal persons who support the purpose of the association. The board decides on admission. Resignation is possible at any time, with written notice at least 20 days before the ordinary general meeting.
Bodies
The general meeting, the board and the auditors. The general meeting is the supreme body; it elects the board, approves the annual accounts and budget, sets membership fees and decides on amendments to the articles and on dissolution. The board consists of at least three members, elected for one year, and represents the association externally.
Liability and financial year
Only the association's assets are liable for its debts; personal liability of members is expressly excluded. The financial year runs from 1 January to 31 December.
